MOSAIC JEWISH COMMUNITY LIMITED
NOTICE OF 2019 ANNUAL GENERAL MEETING
This Notice is to inform all Members of Mosaic Jewish Community (“MJC”, or “the Company”), all Congregants of the Constituent Synagogues of MJC, and the Constituent Synagogue Councils, that the 2019 Annual General Meeting of the Company will take place:

  • On Sunday 26th May 2019 at 4.30 pm
  • At 39 Bessborough Road, Harrow, HA1 3BS
  • The AGM will be preceded at 4.00 pm by an update from the Chair of the Property Working Group

This Notice is issued in compliance with the requirements of the Articles of Association of the Company, which can be found on the Mosaic website, www.choosemosaic.org .  Words in italics carry the same meaning as defined in that document.

The Board of MJC invites nominations of any Congregant with Standing Rights for the 2 mandatory positions on the Board of MJC for which election takes place at the AGM.  The 2 mandatory positions are:
Treasurer
Chief Administration Officer

Mark Philips and Jeff Highfield were elected as Co-Chairs at the 2018 AGM for a term of 2 years, so no election for Chair is required at this AGM.

The Board is also entitled under the constitution to appoint such other directors as it considers required to meet the needs of the community.  The Board has decided that the following existing positions continue to be required for the coming year, and so would welcome nominations for:

Adult Education Officer
Community Activities Officer
Social Action Officer
Communications & Marketing Officer
Ritual Events Co-ordinator

The Board has also considered the need for further Board positions in the event that planning permission on the Community’s new home at 65 Stanmore Hill is approved.  The Board has decided that the following roles would be required for a successful transitional period after we vacate 39 Bessborough Road, and for the delivery of our new home and so would welcome nominations for:

Interim Community Co-ordinator – to help the Board make sure that all members of the community can remain fully involved in our community, and all community activities have appropriate facilities and resources to continue, during our time in the wilderness

Property Project Co-ordinator – to help the Board deliver our new home, reporting on the progress of building, fit out and associated activities, working alongside Mosaic Reform project / contract management lead (as the new building will be a Mosaic Reform asset)

The progress of the planning applications, and their eventual approval or otherwise, may mean that the Board will decide that different or additional positions are necessary.  The Board will of course keep Congregants and Councils informed.

If you wish to nominate a Congregant for any of the positions specified above, please write to the Company Secretary, Jeff Highfield at 39 Bessborough Road, Harrow, HA1 3BS.  The nomination must be signed by the nominee and by at least 2 Congregants and be received by the Company Secretary by Sunday 28th April 2019.

The Board of MJC invites Congregants to submit resolutions for decision at the Annual General Meeting on any relevant topic.  If you wish a resolution to be proposed to the AGM, please put it in writing to the Company Secretary at 39 Bessborough Road, Harrow, HA1 3BS.  The resolution must be signed by at least 10 Congregants and be received by the Company Secretary by Sunday 28th April 2019.

The Board of MJC also invites Constituent Synagogue Councils to submit resolutions for decision at the Annual General Meeting on any relevant topic.  Council Chairs should put the resolution in writing to the Company Secretary at 39 Bessborough Road, Harrow, HA1 3BS by Sunday 28th April 2019, and include the date of the Council meeting at which it was decided to submit the resolution.

The Company Secretary will issue a further notice to all Members, Congregants and Constituent Synagogue Councils at least 14 days before the date of the AGM, that is, by Sunday 12th May 2019, containing:

  • The formal agenda for the AGM
  • The list of all nominations for election to the Board
  • The text of all resolutions to be proposed to the AGM

By Order of the Board
